affiliates. LI-BD1 Reporting directly to the Vice President, Deputy
General Counsel, you will be the attorney to assist with and/or
manage a broad spectrum of corporate legal work. You will primarily
be responsible for providing legal advice, guidance and support for
Corporate Development (i.e., mergers and acquisitions), securities
compliance, corporate risk analysis and assessment for US and
international corporate subsidiary compliance matters. You will
also act as the advisor on legal issues involving the
organization's government and regulatory compliance. We are

role you will: Assist with the preparation and review of documents
for various financial transactions, including debt offerings and
intercompany dividends. Serve as a legal resource for the Company's
Finance Teams Provide advice and counsel on Delaware corporate law
and general corporate governance matters, including support for the
Board of Directors (e.g., drafting meeting materials, minutes,
resolutions, etc.) Respond promptly to requests from internal
clients, and summarize and communicate legal risks in a way that
business people can understand that pragmatically balances risk
with the Company's business objectives Provide leadership on
cross-functional teams, identify legal issues, and provide legal
options / analysis of possible legal solutions, all while
interacting with external counsel, advisors, external vendors, and
the business Assist with various US and international corporate
subsidiary maintenance and compliance matters Assist with a limited
number of SEC matters (e.g., American Depositary Receipts
documents) Keep informed of new laws, regulations, and industry
trends affecting the Company, and assisting with the development of
policies and training as needed Draft and review amendments to
governance documents and corporate policies Support corporate and
strategic transactions, including mergers and acquisitions,
divestitures and entity liquidations. Review a variety of equity
compensation matters and prepare various equity compensation plan
documents You are best equipped for this task if you have: Law
Degree from a nationally recognized law school and member of a
major state bar 7 years' experience in legal practice (either in a
large law firm or a combination of a large law firm and in-house
experience) Significant experience working as a corporate attorney
and providing legal advice on a broad set of general corporate
matters, with increasing levels of responsibility. Significant
experience working on Delaware corporate law and corporate
governance matters Experience working on mergers & acquisitions is
a plus Excellent organizational and planning skills and the
capacity to simultaneously handle a variety of complex matters
under deadline pressure \Excellent written, verbal and analytical
skills and an ability to communicate complex issues in a simple way
and to orchestrate plans to resolve issues and mitigate risks
Ability to form strong working relationships with other employees
and business partners while maintaining firm adherence to proper
legal standards Sound business judgment and strategic thinking.
Flexibility and an interest in working on a broad variety of legal
matters in order to understand and advise the Company on legal
implications of its business strategy Attention to detail and the
ability to work individually, within a multi-disciplinary team, as
well as with external partners and vendors Government
Regulation/Export/Anti trust experience is a plus
